01Who these terms are between

These Terms & Conditions ("Terms") are an agreement between you and the operator of UpadhiSetu ("UpadhiSetu", "we", "us", "our"), covering your use of the UpadhiSetu mobile application, the website at upadhisetu.com, and any related services (together, the "Platform").

02Definitions

• Worker — a user looking for work through the Platform.
• Hirer — a user posting work through the Platform. Referred to in the app as an owner or job poster.
• Work Post — a listing created by a Hirer describing work, the wage, dates, location, number of people required, and what is provided.
• Application — a Worker's request to be considered for a Work Post.
• Group Lead — a Worker who applies on behalf of a team, listing the members of that team.
• Engagement — the arrangement agreed directly between a Hirer and a Worker after an Application is accepted.
• Content — anything you submit: text, photographs, ratings, messages, profile details and Work Post details.

03Accepting these terms

By creating an account, or by using the Platform in any way, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

During signup you are asked to confirm your agreement explicitly. That confirmation is recorded.

04Eligibility

1. You must be 18 years of age or older. Your date of birth is collected at signup and this requirement is enforced on our servers. Accounts for people under 18 cannot be created.
2. You must be capable of entering into a binding contract under the Indian Contract Act, 1872.
3. You must not be barred from using the Platform under any applicable law, and must not be using it to circumvent a previous suspension.
4. You must have a working Indian mobile number that you control.

05Your account

1. Accounts are created and accessed using your mobile number, verified by a one-time code sent by SMS.
2. One account per mobile number. Both roles — looking for work and posting work — are available from the same account.
3. You are responsible for everything done through your account. Keep your phone and your verification codes secure.
4. The information in your profile — name, photograph, location, skills and date of birth — must be true and kept current. Impersonating another person is not permitted.
5. We will never ask you for your one-time code, a password, or bank or UPI details, whether by chat, phone call or any other means. Anyone who does is not us. Report it immediately.

06What UpadhiSetu is — and is not

UpadhiSetu is a venue that lets Hirers describe work and lets Workers find it. That is the whole of our role, and it has consequences you should understand.

UpadhiSetu is not:

• an employer. We do not employ Workers, set wages, direct or supervise work, or provide tools, equipment or a workplace;
• a labour contractor, staffing agency or placement agency. We do not supply labour and do not act as agent for either side;
• a party to any Engagement. The agreement about what work is done, on what terms and for what payment is made directly between the Hirer and the Worker;
• a payment service. We do not receive, hold, transfer or guarantee any wage or other payment;
• a verification or background-screening service. We confirm that a mobile number is genuine. We do not conduct police verification, identity-document checks, skills testing or reference checks, and we make no representation about any user's honesty, competence or suitability.

We act as an intermediary within the meaning of the Information Technology Act, 2000, in respect of Content that users publish through the Platform.

07If you post work

As a Hirer you agree that:

1. The work is lawful, and you are entitled to offer it.
2. Your Work Post is accurate — the wage, dates, hours, location, number of people required, and what is provided (drinking water, meals, transport, accommodation) reflect what you will actually give.
3. You will pay the agreed wage in full, on the agreed terms, without unilateral deduction. The wage you post is a commitment, not an opening offer.
4. You will not offer wages below any applicable statutory minimum wage for the work and location.
5. You will never engage anyone under 18, and will not use the Platform in any way connected to child labour, bonded labour, forced labour or human trafficking.
6. You will provide a reasonably safe place and manner of work, and will comply with all laws applying to the work, including on safety, hours and wages.
7. You will not discriminate against a Worker on the basis of caste, religion, sex, gender, disability, place of birth or any other protected ground.
8. You will use a Worker's contact details, once shared, only to arrange and carry out that work.
9. You are responsible for your own tax and statutory obligations arising from any Engagement.

08If you look for work

As a Worker you agree that:

1. The skills, experience and details in your profile are true. Do not claim a trade you cannot perform.
2. You will apply only for work you intend to do, and will tell the Hirer promptly if you can no longer attend.
3. You will carry out accepted work with reasonable care and honesty, and will comply with reasonable and lawful site instructions.
4. You will not ask for or accept payment outside what was agreed, and will not demand a fee from another Worker for access to work.
5. You will use a Hirer's contact details, once shared, only to arrange and carry out that work.
6. You will not misuse the team feature to list people who have not agreed to be listed.

09Wages and payment

1. All payment happens directly between the Hirer and the Worker. The Platform provides no payment, escrow, wallet or settlement facility.
2. UpadhiSetu charges no commission on wages and takes no share of any Engagement.
3. Registration, creating Work Posts and applying for work are free. If any charge is introduced in future, it will be notified in the app before it applies.
4. We are not liable for non-payment, underpayment or late payment, and we cannot recover wages on your behalf. A wage dispute is a matter between the two users, though you may report conduct to us under clause 22.

10Teams and group applications

1. A Group Lead applying on behalf of a team confirms that every listed member has consented to being listed and to their details being shared with the Hirer for that work.
2. A Group Lead must not list anyone under 18.
3. The Group Lead is responsible for what they submit about their team. Each team member remains individually bound by these Terms.

11Ratings and reviews

1. Ratings may be given after work is completed, and run in both directions.
2. A rating must reflect your genuine experience of that Engagement. Ratings traded for payment, given to yourself through another account, or used to threaten or coerce, are prohibited.
3. Aggregate ratings are visible to other users. We may remove a rating that breaches these Terms, and may remove or withhold ratings that appear manipulated.

12Messaging and conduct

1. In-app messaging exists to arrange work. Use it for that.
2. Abuse, threats, harassment, sexual advances, casteist or communal remarks, and intimidation are prohibited and may result in immediate removal.
3. Do not share another person's private information, and do not ask anyone for their one-time code, password or banking details.
4. UpadhiSetu support may join a conversation to help resolve an issue. Support messages are clearly identified as being from UpadhiSetu Support.

13Prohibited use

You must not:

• post work that is unlawful, deceptive, or that you cannot actually provide;
• post anything obscene, defamatory, hateful, or that infringes another person's rights;
• use the Platform to advertise unrelated goods, services, lending or recruitment schemes;
• charge any person a fee for access to work found on the Platform;
• create accounts by automated means, or hold multiple accounts to evade a suspension;
• scrape, copy or harvest user data, or attempt to extract contact details in bulk;
• interfere with the Platform's security, probe it for vulnerabilities without our written permission, or attempt to bypass authentication;
• reverse engineer, decompile or create derivative works from the app except as permitted by law;
• impersonate any person or misrepresent your affiliation with UpadhiSetu.

14Content you provide

1. You retain ownership of the Content you submit.
2. You grant us a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, adapt for display, and distribute your Content solely to operate and improve the Platform — for example, showing your Work Post to matching Workers.
3. You confirm you have the rights to everything you submit, including any photograph you upload and any person shown in it.
4. We may remove Content that breaches these Terms or the law. We do not pre-screen Content and are not obliged to monitor it.

15Our intellectual property

The UpadhiSetu name, the UpadhiSetu logo and mark, the app, the website, and their design, text and software are owned by us or licensed to us. Nothing in these Terms transfers any right in them to you. You may not use our name or mark without our prior written permission.

16Availability and changes to the service

We aim to keep the Platform available but do not guarantee uninterrupted access. Features may be added, changed or withdrawn. Access may be suspended for maintenance, or where continuing to operate would breach the law or risk user safety.

17Suspension and termination

1. You may stop using the Platform at any time and may ask us to delete your account (see the Privacy Policy).
2. We may suspend or terminate your access, with or without notice, if you breach these Terms, if your conduct puts another user at risk, if we are required to by law, or if your account appears to be fraudulent.
3. Termination does not affect obligations already incurred — in particular, a wage you have agreed to pay remains payable.

18Disclaimers

The Platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose.

In particular, we do not warrant that:

• any user is who they claim to be, beyond having verified their mobile number;
• any Worker is skilled, honest, punctual or suitable;
• any Hirer will pay, or will provide safe or lawful conditions;
• any Work Post is accurate, current or genuine;
• any Engagement will be completed.

You interact with other users at your own risk and are responsible for your own judgement. Satisfy yourself about the other person before you begin work or hand over anything of value.

19Limitation of liability

To the fullest extent permitted by law, UpadhiSetu, its directors, employees and agents will not be liable for:

• any act or omission of another user, including non-payment, no-show, poor work, theft, injury, harassment or misrepresentation;
• any loss of wages, profit, business, data or reputation;
• any indirect, incidental, special or consequential loss;
• any injury, death, damage or loss arising in the course of work arranged through the Platform.

Where liability cannot lawfully be excluded, our total aggregate liability to you is limited to the greater of (a) the total amount you have paid us in the twelve months before the claim, or (b) ₹1,000. Because the Platform is currently free to use, this will usually be ₹1,000.

Nothing in these Terms limits liability that cannot be limited under applicable law.

20Indemnity

You agree to indemnify and hold harmless UpadhiSetu against any claim, demand, loss or expense (including reasonable legal costs) arising from your use of the Platform, your Content, your breach of these Terms, or any Engagement you enter into.

21Third-party services

The Platform relies on third-party services, including Google Firebase for authentication, data storage, notifications, crash reporting and analytics, and device services for location. Their handling of data is described in our Privacy Policy. Your use of Google Play is also governed by Google's own terms.

22Grievance redressal

If you wish to report Content, conduct or a breach of these Terms, contact our Grievance Officer. We will acknowledge your complaint within 24 hours and aim to resolve it within 7 working days, in line with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

23Governing law and disputes

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising from or relating to these Terms or your use of the Platform.

Before commencing proceedings, both sides agree to attempt resolution in good faith by contacting the Grievance Officer named in clause 22.

24Changes to these terms

We may update these Terms. When we do, we will change the "Last updated" date above and, for significant changes, notify you in the app. Continuing to use the Platform after a change means you accept the updated Terms.
